TERMS AND CONDITIONS OF SALE These terms govern all sales by Hastings Fiber Glass Products, Inc. (“Hastings,” “we,” “us”). We object to any additional or different terms. Quotations, Prices & Orders • Written quotations expire as noted on the quotation. • Prices exclude taxes, are subject to change without notice, and are those in effect on shipment date. Shipping & Delivery • All shipments are F.O.B. at our factory in Hastings, Michigan. • We will use the carrier and shipping method specified on your purchase order. If none is specified, we will ship via our best available method, prepay the freight, and add the charges to your invoice. • Delivery dates are estimates only. • We are not liable for delays caused by events beyond our reasonable control. • Authorized returns are subject to a minimum 20% restocking charge. Warranty We warrant that products we manufacture are free from defects in materials and workmanship for one year from shipment, provided they have not been misused or improperly applied. Products that conform to drawings, specifications, or samples you approved are not defective. If a product is defective, we will repair or replace it at our discretion. You must obtain our prior written consent and a factory-issued RMA number before returning any item. The RMA will specify the shipping and return instructions. This is your sole and exclusive remedy. No warranty applies to items we did not manufacture. We are not responsible for modifications, alterations, misapplications, or damage caused by you or any third party. Limitations of Liability Except for the limited warranty expressly stated above, we make no other warranties, expressed or implied, including any implied warranties of merchantability or fitness for a particular purpose. We are not liable for consequential, incidental, indirect, special, punitive, or exemplary damages. All claims must be brought within one year of the date the claim arises. Other Provisions • We reserve the right to make design changes or improvements without notice or obligation regarding your existing stock. • You agree to indemnify and hold us harmless from all claims, losses, damages, and expenses (including attorney fees) arising from your use, resale, modification of the products, breach of these terms, or products made to your specifications. • These terms are governed by Michigan law.
